Do I need a lawyer to draft or review a contract?

Yes! While templates are widely available online, a lawyer ensures the agreement is tailored to your business, enforceable under Nevada law, and protective of your specific interests. Yes!  In nearly all cases, you should have an operating agreement, even if you are the sole member of your LLC. Here’s why:

An operating agreement helps preserve the limited liability protection of your LLC. Without one, courts may be more likely to “pierce the corporate veil” and hold you personally liable for business debts or lawsuits.

2. Clarity and Control

The agreement sets clear rules for ownership, decision-making, profit-sharing, and what happens if a member leaves or dies. This helps prevent disputes and ensures smooth day-to-day operations.

3. Required in Practice 

While Nevada does not legally require a written operating agreement, banks often ask for it when opening a business account. Investors, lenders, and courts also look for one as evidence of a well-run company.

4. Customized Terms

Without an operating agreement, your LLC is governed by default state rules, which may not reflect your actual intentions. A custom agreement allows you to define the terms of your business your way.
